By entering the details of your business on this Website You are confirming that You have read and accepted all of the following terms and conditions:
1. Definitions
1.1 In these terms and conditions the following words have the following meanings:
Entry all entries displayed on the Website relating to Your business
Fee the fee payable monthly by You to Us in consideration of Us displaying Your Entry on the Website
ID a name and password issued to You to allow You to access the reporting system set up to show referrals made to You through the Website and to allow you to amend any of Your details
Month of this means the period of one month from the date of Registration and Agreement each subsequent consecutive month during the period of this agreement
Registration registration by You with Us in accordance with clause 2.1 (and Registering shall be construed accordingly)
User users of the Website collectively and/or individually as the context admits

We/Us/Our solicitors Limited a company registered in England and Wales whose registered office is at Home Farm, Walhampton, Near Lymington SO41 5RE
You/Your a person Registering with Us in order that We may display details of their business on the Website
1.2 In these terms and conditions (except where the context otherwise requires):
1.2.1 the clause headings are included for convenience only and shall not affect the interpretation of these terms and conditions;
1.2.2 use of the singular includes the plural and vice versa;
1.2.3 use of any gender includes the other genders; and
1.2.4 any reference to persons includes natural persons, firms, partnerships, companies, corporations, associations, organisations, governments, states, foundations and trusts (in each case whether or not having separate legal personality).
2 Registration
2.1 Before We will display your Entry on the Website you must provide Us with accurate and complete registration information. You hereby agree that You will immediately inform Us of any changes to that information (including but not limited to Your e-mail address). Such changes must be notified to Us in writing by email to [email protected] or by first class post to Our registered office.
2.2 On Registration you will be supplied with an ID and asked to choose a password. Your ID and password is for your personal use only and you hereby agree not to allow any other person to use Your ID.
2.3 If You believe there has been any breach of security including (but not limited to) the disclosure, theft or unauthorised use of Your ID, You agree to notify Us immediately in writing by email to [email protected] or by first class post to Our registered office.
2.4 You will liable for all use of the Website made by You or anyone else using Your ID and You are solely responsible for preventing unauthorised use of Your ID.
3 Advertising on the Website
3.1 By placing an Entry on the Website you grant Us a royalty free, non-exclusive, irrevocable, world-wide, perpetual, assignable licence to exercise any copyright, trade mark, publicity and database rights You have in relation to such Entry.
3.2 You are solely responsible for the content of Your Entry. You agree to check Your Entry and immediately notify Us in writing of any errors.
3.3 By submitting an Entry to the Website You agree to indemnify Us and hold Us harmless from and against all losses, costs (including reasonable costs on a full indemnity basis), claims, demands, actions, liabilities and expenses in connection with any Entry posted or published by You.
4 Introductions though the Website
4.1 The Website is a service for displaying entries and acts only as a means by which solicitors and potential clients can be introduced. Any arrangements made between You and any third party who obtains Your details from this Website are at Your sole risk and responsibility.
5 Advertising Fees
5.1 The Fee for the placing of any entry shall be the price determined in accordance with the pricing structure as set out on the Website from time to time.
5.2 The Fee shall be payable monthly by standing order and the first payment will be debited from your account one month after the date of Registration. The first payment shall be a for a sum equal to double the usual monthly Fee representing payment of the Fee for the first and second Month of this Agreement.
5.3 Save as provided in clause 5.2 above, You shall pay the Fee by standing order in pounds sterling monthly in advance. No payment shall be deemed to have been received until We have received cleared funds.
5.4 Save as Provided in clause 5.2 above, We shall not be obliged to display any Entry until such time as we have received payment of the Fee in full in respect of such Entry.
5.5 You shall pay the Fee in full without any deduction whether by way of set-off, counterclaim, discount, abatement or otherwise.
5.6 The Fee shall be exclusive of value added tax and of any other applicable tax.
5.7 We reserve the right to claim interest under the Late Payment of Commercial Debts (Interest) Act 1998.
6 Use of Information relating to other Users
6.1 You hereby agree only to communicate with other Users regarding the supply of legal services to them and not to use contact details of other Users for any other purpose.
6.2 You hereby agree not to disclose the contact details of any other User to any third party.
6.3 You hereby agree to indemnify Us and hold Us harmless from and against all losses, costs (including reasonable costs on a full indemnity basis), claims, demands, actions, liabilities and expenses in connection with any breach of this clause 6.
7 Termination
7.1 We reserve the right to suspend or terminate Your Entry (without liability to You). Such right may be exercised without notice. Any notice given will be to the e-mail address You have notified to Us. In that event, notice will be deemed to be served three hours after transmission.
7.2 You are entitled to terminate Your Entry at any time by notifying Us in writing by email to [email protected] or by first class post to Our registered office provided always that, unless agreed otherwise in writing by Us, such termination will take effect 30 days from the end of the month in which cancellation received.
7.3 You hereby agree that if the Website ceases to be operated by Us you will not place any entry on the Website, unless We have given Our prior written consent.
8 Limitation of Liability and Disclaimer
8.1 We give no warranties in respect of the Website. The Website is provided on an "as is", "as available" basis and We do not guarantee the accuracy, timeliness, completeness, performance or fitness for a particular purpose of the Website. All implied warranties are excluded by these terms and conditions to the fullest extent that they may be excluded by law.
8.2 We make no warranty that the Website is free from infection by viruses or anything else that has contaminating or destructive properties.
8.3 We will not be liable for any damages (including without limitation, damages for loss of profits) arising in contract, tort or otherwise from Your use or inability to use the Website or any content or from any action taken (or refrained from being taken) as a result of using the Website.
8.4 The Website contains links to other World Wide Web sites. Those sites are provided by independent third parties and We shall not be responsible for their availability or content.
9 Privacy Policy
9.1 You acknowledge and agree to be bound by the terms of Our Privacy Policy.
9.2 The information that You provide about Yourself and your business to Us shall only be used by Us in accordance with Our Privacy Policy.
10 Changes to these Terms and Conditions
10.1 We may wish to change these terms and conditions. It is Your responsibility to refer to Our terms and conditions whenever You access the Website. By accessing the Website You are agreeing to be bound by the terms and conditions as varied or amended from time to time.
11 General
11.1 If any part of these terms and conditions is unenforceable (including any provision in which we exclude or limit Our liability) the enforceability of any other part of these conditions will not be affected.
11.2 Except for Our directors, employees or representatives, a person who is not a party to this agreement has no right under the UK Contracts (Rights of Third Parties) Act 1999 to enforce these terms and conditions but this does not affect any right or remedy of a third party that exists or is available apart from that Act.
11.3 These terms and conditions shall be governed by and construed in accordance with English law and the English courts shall have jurisdiction to resolve any disputes between us.
11.4 These terms and conditions, together with the Privacy Policy, set out the whole of our agreement relating to Your use of the Website.
11.5 Failure by either party to exercise any right or remedy under these terms and conditions does not constitute a waiver of that right or remedy.
11.6 No person who is not one of Our directors as shown on the register at Companies House from time to time shall be entitled in any way to bind Us.
11.7 We shall not be liable to You if We are prevented from making the Website available due to circumstances beyond Our reasonable control including, without limitation, acts of God, governmental actions, war or national emergency, acts of terrorism, protests, riot, civil commotion, fire, explosion, flood, epidemic, lock-outs, strikes or other labour disputes (whether or not relating to either party's workforce).
